OT: Looking for a good free MPEG-4 codec

Something that would give support for something like adobe premiere,

any suggestions?

PS. If not that, how about a program that does a decent job of 'converting' mpeg files to avi? (No watermarks)

I assume by 'avi' you mean an mpeg-2 video in an avi container? If so, MediaCoder (free, open source, available on SF.net) should work fine for that, and doesn't include any watermarks or any of that junk. I've used it quite a bit to encode loads of mpeg-2/avi videos into h264 video files... the reverse should work fine as well.

MediaCoder? That uses Opencandy, a form of adware, to support itself.

EDIT: Did some more digging. While Opencandy left nasty bits behind, they claim they've cleaned up those files now. It will only actually do it's checking during the MediaCoder install. That said, I'm very wary of anything peeking at my registry.
